Amethyst Yield — Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and FairCorp (“FairCorp,” “we,” “us,” or “our”) covering your download and use of the Amethyst Yield desktop application and the optional FairCorp-hosted services that power its live features (together, the “Service”). Please read them carefully. By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy.

1. Overview

Amethyst Yield is an academic-productivity companion: it brings your coursework, calendar, notes, and study timers into one dashboard. The Service is distributed through the FairCorp ToolBox storefront (toolbox.fair-corp.com). Amethyst Yield is designed to be offline-first — most features work entirely on your device. Optional live features — syncing with your learning-management system (Canvas), connecting your Google Calendar, and cloud sync between your own devices — are only active when you sign in and choose to enable them.

Subject to these Terms, FairCorp grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, for your own personal academic-productivity use. You may not:

This license does not grant you any right to FairCorp’s or its licensors’ trademarks, trade names, logos, or the “Harvest” design system, except as needed to identify the Service.

5. Accounts and services you connect (Canvas & Google)

Amethyst Yield lets you connect accounts you already have with third parties — for example, your institution’s Canvas learning-management system and your Google Calendar — so those sources appear in your dashboard. These features are optional and are provided at your direction with your own credentials and authorizations.

You retain all rights in the notes, tasks, and other content you create in Amethyst Yield. You grant FairCorp a limited, non-exclusive, royalty-free license to store, process, and transmit that content solely to operate and improve the Service for you (for example, syncing it between your own devices). We do not use your content for advertising, and we do not sell it.

8. Third-party components

The Service may include third-party open-source software and other components under their own licenses, which remain in effect for those components. Nothing in these Terms limits your rights under applicable open-source licenses. Our use of Google APIs is governed by the Privacy Policy and by Google’s API terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, OPERATING SYSTEM, OR THIRD-PARTY SERVICE. AMETHYST YIELD IS A PRODUCTIVITY TOOL, NOT AN OFFICIAL RECORD OF YOUR ACADEMIC STANDING; IT IS NOT A SUBSTITUTE FOR YOUR INSTITUTION’S SYSTEMS OF RECORD, AND YOU SHOULD VERIFY IMPORTANT INFORMATION (SUCH AS DEADLINES AND GRADES) WITH YOUR INSTRUCTOR OR INSTITUTION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FAIRCORP, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FAIRCORP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID FAIRCORP FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

To the maximum extent permitted by law, you agree to indemnify and hold harmless FairCorp and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of the rights of any third party (including your educational institution or the providers of accounts you connect), or (d) your violation of applicable law.

13. Termination and suspension

You may stop using the Service at any time and delete your local copy of the application. We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, if continued operation would violate law or create risk to the Service or other users, or as required by a provider whose account access you connected. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including sections 6, 7, 10, 11, 12, 14, and 15) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, U.S.A., without regard to conflict-of-law principles. You and FairCorp each agree to first attempt to resolve any dispute informally by contacting the other party. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Boulder County, Colorado, and each party consents to the personal jurisdiction of those courts. You agree that any claim you bring must be filed within one (1) year after the claim arises. If you are a consumer in a jurisdiction whose law provides otherwise, the mandatory provisions of that law apply.
